Terms of Service

1. Agreement to Terms

By accessing or using PlantIntel ("the Service"), operated by Plant Intel LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

PlantIntel is a manufacturing data forensic audit platform. The Service provides:

  • Free Tier: Upload CSV files for automated forensic analysis, including structure assessment, completeness scoring, domain readiness evaluation, entity detection, and a downloadable PDF report.
  • Professional Tier ($1,500 per session): Everything in the Free Tier plus expert human-in-the-loop (HITL) data mapping, column-to-ontology alignment, data transforms, validation rules, clean CSV output, mapping configuration, and an executive summary.

3. Account Registration

To use the Service, you must create an account through our authentication provider (Clerk). You agree to:

  • Provide accurate and complete registration information.
  • Maintain the security of your account credentials.
  • Promptly notify us of any unauthorized use of your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these terms or are used for fraudulent purposes.

4. User Data and Uploads

You retain all ownership rights to data you upload to the Service ("Your Data"). By uploading data, you grant us a limited, non-exclusive license to process, analyze, and store Your Data solely for the purpose of providing the Service to you.

You represent and warrant that:

  • You have the right and authority to upload the data you provide.
  • Your Data does not contain personally identifiable information (PII) of individuals unless you have appropriate consent or legal basis to share it.
  • Your Data does not violate any applicable laws, regulations, or third-party rights.
  • You are solely responsible for the accuracy and legality of Your Data.

We do not claim ownership of Your Data. We will not sell, share, or use Your Data for purposes other than providing the Service, except as described in our Privacy Policy or as required by law.

5. Payments and Billing

Professional Tier sessions are purchased individually at $1,500 per session. Payments are processed through Stripe. By making a purchase, you agree to Stripe's terms of service.

  • All fees are in US dollars and are non-refundable unless otherwise stated.
  • We reserve the right to change pricing with 30 days' notice. Price changes do not affect sessions already purchased.
  • You are responsible for any applicable taxes associated with your purchase.

6. Refund Policy

If we are unable to complete a Professional Tier session due to an issue on our end (e.g., data loss, service failure), we will offer a full refund or a replacement session at your choice. Refund requests must be submitted within 14 days of session purchase by contacting support@plantintel.io.

Refunds are not available for completed sessions where deliverables have been generated and provided to you, except where required by applicable law.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Upload malicious files, malware, or data designed to disrupt the Service.
  • Attempt to gain unauthorized access to any part of the Service or its related systems.
  • Reverse engineer, decompile, or disassemble any aspect of the Service.
  • Use the Service to compete directly with PlantIntel or to build a substantially similar product.
  • Resell, redistribute, or sublicense access to the Service without our written consent.

8. Intellectual Property

The Service, including its software, design, text, graphics, algorithms, and manufacturing ontology, is owned by Plant Intel LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service.

Deliverables generated through the Service (clean CSVs, mapping configurations, reports) are yours to use without restriction once delivered.

9. AI and Automated Processing

The Service uses artificial intelligence and machine learning (including large language models) to assist with data analysis, entity detection, and mapping suggestions. You acknowledge that:

  • AI-generated analysis is provided as recommendations, not guarantees. All critical decisions in Professional Tier sessions are made by human experts.
  • Your uploaded data may be processed by third-party AI providers (currently Anthropic) under their data processing agreements. We do not use your data to train AI models.
  • Automated analysis results should be validated by qualified personnel before being used in production systems.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

11. Limitation of Liability

To the maximum extent permitted by law, Plant Intel LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or relating to your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim. The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.

12. Indemnification

You agree to indemnify and hold harmless Plant Intel LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these terms, or your violation of any rights of a third party.

13. Termination

You may terminate your account at any time by contacting support@plantintel.io. We may terminate or suspend your account immediately, without prior notice, if you violate these terms.

Upon termination, your right to use the Service ceases immediately. We will delete your uploaded data within 30 days of account termination, unless retention is required by law.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to conflict of law principles. Any disputes arising from these terms or the Service shall be resolved in the state or federal courts located in Idaho.

15. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes via email or a prominent notice on the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised terms.
